In the UAE, a single improper payment can lead to criminal liability, lost banking relationships and damaged client trust, which makes understanding the rules a practical necessity for any business owner.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Where the Rules Come From<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">The UAE&#8217;s core bribery offences sit in Federal Decree-Law No. 31 of 2021 on the Crimes and Penalties Law, commonly known as the Penal Code, which came into force on 2 January 2022 and has since been amended. Articles 275 to 287 criminalise offering, giving, requesting or accepting improper benefits in return for influencing the performance of a duty. Federal criminal law applies across the mainland and free zones alike, so free zone status provides no exemption. A practical overview of the <a href=\"https:\/\/www.meydanfz.ae\/blog\/anti-bribery-law-uae\" target=\"_blank\" rel=\"noreferrer noopener\">UAE anti-bribery law<\/a> and its compliance implications is a useful companion for business owners setting up internal controls.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">What Counts as Bribery<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">The law covers bribery of UAE public officials and extends to foreign public officials and employees of international organisations. It also reaches the private sector, so offering a benefit to a manager or employee of a private company to influence their decisions is an offence, as is accepting one. Both the person giving and the person receiving can be liable, and acting through an intermediary does not remove the risk.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">A bribe need not be cash. Lavish hospitality, jobs created for an official&#8217;s relative and vague consulting fees paid to secure an approval can all qualify. Facilitation payments, small sums intended to speed up routine processes, are not permitted under UAE law and are treated as bribery. A trading company that pays an official&#8217;s relative a so-called consulting fee to accelerate a permit is committing an offence, whatever the paperwork says.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Penalties and Wider Consequences<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Individuals convicted of bribery face imprisonment and fines, with private sector bribery carrying prison terms of up to five years. Proceeds can be confiscated, and companies may face fines and other sanctions where offences are committed in their name or interest. The law also contains a self-reporting provision under which a person who informs the authorities before the offence is discovered may be exempted from penalty, although specific advice is essential before relying on it.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The reach of the law extends beyond UAE borders in certain cases, including where the offender or victim is a UAE national or the offender works in the UAE public or private sector. Beyond legal penalties, an investigation can prompt banks to restrict services and clients to terminate contracts, consequences that are often more damaging to a small business than the fine itself.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Building a Proportionate Compliance Programme<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">A sensible programme starts with mapping risk. Businesses should list every interaction with officials and flag high-risk areas such as permits, customs clearance and tenders. A logistics start-up, for instance, would likely identify customs as its greatest exposure.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The next step is a clear written policy that prohibits bribes and facilitation payments, sets limits for gifts and hospitality, and defines who approves exceptions. A short policy signed by every employee is more effective than a lengthy document nobody reads. Staff should receive regular training, and agents and suppliers should be checked before onboarding, with anti-bribery clauses written into contracts. Any unexplained charge, such as an unitemised handling fee from a clearing agent, deserves a question and a documented answer.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Finally, a confidential reporting channel, a gift and hospitality register, and periodic review by a director help keep the programme alive. Paying only published government fees through official channels, and keeping receipts, removes much of the day-to-day risk. Accurate books and up-to-date beneficial ownership records support transparency if questions are ever raised.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Conclusion<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">The UAE&#8217;s anti-bribery rules apply to every business, whatever its size or location, and cover public officials, foreign officials and private sector dealings alike. A clear policy, trained staff, careful third-party checks and clean records significantly reduce exposure.
